These Terms of Service (“Terms”) govern your use of Shift Key's services, including our website at shiftkeyai.com and any work we perform on your behalf. By using our services or placing an order, you agree to these Terms.
Shift Key is a service that builds digital products (such as websites, landing pages, and web applications) using a combination of AI tools and human expert oversight. We are not a software company selling a product — we are a service provider delivering custom work.

You tell us what you need built. A human operator uses AI tools to build it, reviews and improves the AI's output, and delivers a finished product along with a Transparent Receipt documenting exactly what was done, what it cost, and how the human improved the AI's work.
Every project is quoted with four components, shown to you upfront via a Work Order:
Before work begins, you will receive a structured Work Order containing the full pricing breakdown. Once you authorize payment, the Work Order becomes the binding agreement. The maximum you will pay is the Work Order total. If the actual cost exceeds this amount, Shift Key absorbs the difference — you never pay more than the authorized total.
A portion of the Platform Fee is distributed to active contractors as a community dividend. This incentivizes quality work and long-term platform engagement.
If payment is not received within 14 days of the invoice date, we reserve the right to suspend delivery of source code or deployment credentials, charge a late fee of 1.5% per month on the outstanding balance, and pursue collection through appropriate legal channels.
If you are unsatisfied with the delivered work, contact us within 7 days of delivery. We will work with you to resolve the issue. If we cannot reach a resolution, we will issue a partial or full refund at our discretion based on the work completed. We do not offer refunds for completed and accepted work after the 7-day period.
We will communicate with you primarily via email. You agree to respond to questions and provide requested materials in a timely manner. Delays in your responses may extend the delivery timeline.
Each project includes one round of revisions after initial delivery, covering reasonable adjustments to the agreed-upon scope. Additional revision rounds or scope changes may incur additional charges, which will be quoted and approved by you before work begins.
Estimated timelines are provided in good faith but are not guaranteed. We will notify you promptly if a delay is expected and provide a revised timeline.
Upon full payment, you own all rights to the deliverable, including source code, design assets, and content created specifically for your project. This is a “work for hire” arrangement.
Shift Key uses AI tools (such as large language models and code generation tools) as part of our production process. A human operator supervises, reviews, and improves all AI-generated output before delivery.
To the maximum extent permitted by law, Shift Key's total liability for any claim arising from our services is limited to the amount you paid for the specific project in question.
You may cancel a project at any time before delivery by notifying us at david@shiftkeyai.com. If work has already begun, you will be invoiced for the work completed up to the point of cancellation, subject to the Cap.
We reserve the right to decline or cancel a project if the requested work is illegal, unethical, or violates these Terms; you fail to provide necessary materials for more than 14 days; or payment for a required deposit is not received within 7 days.
Upon cancellation, any work completed to that point becomes your property upon payment. Unpaid work remains Shift Key's property.
We treat your project details, business information, and brand assets as confidential. We will not share your information with third parties except as necessary to complete the work, as required by law, or with your explicit written permission. This obligation survives termination of the project.
If a dispute arises, we agree to first attempt to resolve it through good-faith negotiation via email. If we cannot reach a resolution within 30 days, either party may pursue binding arbitration under the rules of the American Arbitration Association, conducted in the state where Shift Key's LLC is registered. Each party bears its own costs unless the arbitrator determines otherwise.
